Aghh!
Unplug the phone from your computer. Close itunes. Then replug the phone back in... It should work then. If it doesn't then you must have not upgraded your itunes to the latest version.

still refusing to do it saying 3.1.3 is latest version tried with ipod touch 64gb v3 and still wont download it even after unplugging and restarting itunes...by the way my itunes is latest version

Mines done that until about a minute ago, just retry, mines eventually 'connected' to the server.
